Terms of Service

Shugert Agency is a Shopify Select Partner with offices in Hermosillo (Mexico), Barcelona (Spain), and New York (USA). Contact: hello@shugert.com.mx.

We design, build, and grow Shopify and Shopify Plus stores, including custom development, theme work, integrations, performance optimisation, CRO, SEO, analytics, and ongoing retainers. The specific scope, deliverables, fees, and timelines for any engagement are defined in a separate written proposal or statement of work, which prevails over the website copy.

You agree to use the site lawfully and not to:

• Attempt to disrupt, overload, or compromise the security of the site or our infrastructure.
• Use automated tools to scrape, copy, or republish content without our written permission.
• Submit false, misleading, or fraudulent information through our forms.
• Use the site to violate any applicable law or third-party right.

All content on shugert.com.mx — including text, graphics, logos, code, and case studies — is owned by Shugert or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. Custom work delivered to clients is governed by the IP terms in the relevant statement of work.

Fees, currencies, payment milestones, and applicable taxes are agreed in writing for each engagement. Unless stated otherwise, invoices are payable within 15 days. Late payments may incur interest at the legal rate and suspension of services after notice.

We perform our services with reasonable skill and care, in line with industry standards for Shopify Select Partners working on Shopify and Shopify Plus. The website itself is provided "as is" for informational purposes. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement in respect of the website. This does not affect statutory consumer rights that cannot be excluded.

To the extent permitted by applicable law, our aggregate liability arising out of or related to an engagement is limited to the fees paid by the client to Shugert under that engagement in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

Our services often integrate with third-party platforms (Shopify, payment gateways, ERPs, analytics tools, etc.). Your use of those platforms is governed by their own terms and pricing, and we are not responsible for their availability, performance, or policies.

We may suspend or terminate access to the site or to a specific engagement for material breach of these Terms, non-payment, or where required by law. Termination terms specific to retainers and projects are set out in the relevant statement of work.

These Terms are governed by the laws of the United Mexican States and, where applicable to a specific engagement, the laws agreed in the relevant statement of work. Disputes will be submitted to the competent courts of Hermosillo, Sonora, Mexico. Consumers in the EU and UK retain the right to bring proceedings in the courts of their place of residence under mandatory consumer protection rules.

We may update these Terms from time to time. Continued use of the site after changes are posted constitutes acceptance of the revised Terms. Material changes will be highlighted on the site.
